These Terms & Conditions ("Terms") govern your access to and use of the website, cloud-hosted WhatsApp CRM (SaaS), and self-hosted CRM script (collectively, the "Service") provided by WhatsMonk LLC ("WhatsMonk", "we", "us", "our"), a limited liability company registered in the State of Wyoming, USA, with its registered office at 30 N Gould St STE R, Sheridan, WY 82801, USA. By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use WhatsMonk. You are responsible for keeping your account credentials secure and for all activity under your account.

2. Licenses

  • Cloud SaaS — we grant you a non-exclusive, non-transferable right to access the hosted Service for the duration of your active subscription.
  • Self-hosted script — your purchase grants you a license to install and use the script on your own infrastructure as described at checkout. Reselling, redistributing, or sublicensing the source code is not permitted unless explicitly agreed in writing.

3. Acceptable Use

You agree not to use WhatsMonk to send spam, unsolicited bulk messages, or any content that violates WhatsApp's Business Messaging Policy, Meta's terms, or any applicable law. You are solely responsible for obtaining proper consent from the contacts you message.

4. WhatsApp Business API Compliance

WhatsMonk relies on the official WhatsApp Business API. Your WhatsApp Business account may be suspended or restricted by Meta for policy violations. WhatsMonk is not responsible for actions taken by Meta or WhatsApp against your account.

5. Payments & Subscriptions

  • SaaS subscriptions are billed in advance on a recurring basis and renew automatically until cancelled.
  • Self-hosted licenses are one-time purchases unless otherwise stated.
  • All prices are listed and charged in US Dollars (USD), exclusive of taxes unless stated otherwise.
  • Payments are processed securely by third-party payment processors (e.g. Stripe); we do not store your full card details.
  • Refunds are governed by our Refund Policy.

6. Intellectual Property

WhatsMonk, including its software, branding, and content, is owned by us and protected by intellectual property laws. Except for the licenses granted above, no rights are transferred to you.

7. Service Availability

We strive to keep the SaaS Service available but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice. For self-hosted deployments, availability depends entirely on your own infrastructure.

8. Disclaimer & Limitation of Liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, WhatsMonk shall not be liable for any indirect, incidental, or consequential damages, or for loss of data, revenue, or business arising from your use of the Service.

9. Termination

We may suspend or terminate your access if you breach these Terms. You may cancel your subscription at any time; cancellation stops future billing but does not entitle you to a refund except as set out in the Refund Policy.

10. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
